1. Acceptance of Terms

By accessing or using AtomiCRM, operated by Emalogic software LTD ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the service. These terms apply to all users, including administrators, agents, and viewers within a tenant organization.

2. Description of Service

AtomiCRM is a cloud-based customer relationship management platform that provides multi-tenant workspaces, entity management, multi-channel communications, workflow automation, dashboards, and team collaboration tools. The service is provided "as is" and "as available."

3. User Accounts

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must notify us immediately of any unauthorized access to your account.
• You are responsible for all activities that occur under your account.
• Organization administrators are responsible for managing user roles and permissions within their tenant.

4. Acceptable Use

You agree not to use AtomiCRM to:

• Violate any applicable law, regulation, or third-party rights.
• Send unsolicited commercial messages (spam) through integrated communication channels.
• Transmit malware, viruses, or any code of a destructive nature.
• Attempt to gain unauthorized access to other users' accounts or data.
• Interfere with or disrupt the integrity or performance of the service.
• Use the service for any purpose that is harmful, fraudulent, or deceptive.
• Reverse-engineer, decompile, or disassemble any aspect of the platform.

5. Your Data

You retain ownership of all data you upload, create, or store in AtomiCRM ("Your Data"). By using the service, you grant us a limited license to process Your Data solely for the purpose of providing and improving the service. We will not access, use, or share Your Data except as described in our Privacy Policy or as required by law.

6. Third-Party Integrations

AtomiCRM integrates with third-party services including but not limited to Google Gmail, Twilio, WhatsApp, Telegram, and various email providers. Your use of these integrations is subject to the respective third-party terms and privacy policies. We are not responsible for the practices of third-party services. When you connect a third-party account (such as Gmail), you authorize us to access and process data from that service on your behalf.

7. Intellectual Property

The AtomiCRM platform, including its design, code, features, and documentation, is the intellectual property of Emalogic software LTD. You are granted a limited, non-exclusive, non-transferable license to use the service in accordance with these terms. This license does not include the right to modify, distribute, sublicense, or create derivative works from the platform.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance, updates, or modifications that temporarily affect availability. We will make reasonable efforts to notify users in advance of significant planned downtime.

9. Limitation of Liability

To the maximum extent permitted by law, Emalogic software LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the service. Our total liability for any claim arising from or related to the service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be error-free, secure, or available at all times.

11. Termination

We may suspend or terminate your access to the service at any time for violation of these terms or for any other reason at our discretion, with or without notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the service ceases immediately. We will retain or delete Your Data in accordance with our Privacy Policy.

12. Indemnification

You agree to indemnify, defend, and hold harmless Emalogic software LTD, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the service, your violation of these terms, or your violation of any third-party rights.

13. Changes to These Terms

We reserve the right to modify these Terms of Service at any time. Material changes will be communicated through the platform or via email. Your continued use of the service after changes take effect constitutes acceptance of the revised terms.

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to conflict of law principles. Any disputes arising from these terms or the service shall be subject to the exclusive jurisdiction of the courts located in Israel.
